The FDD Guide: Understanding the Franchise Disclosure Document

What Is the FDD?

The Franchise Disclosure Document (FDD) is the legally required document that franchisors must give to prospective franchisees before they sign a franchise agreement or pay any money. Mandated by the FTC Franchise Rule, the FDD contains 23 specific items of disclosure that give franchisees the information they need to make an informed investment decision.

The 23 Items Explained

Item 1: The Franchisor

Background on your company — history, business experience, and any predecessor franchises.

Item 2: Business Experience

Key executives' experience in the franchise industry and general business.

Item 3: Litigation

Any pending or past litigation involving the franchisor or its principals.

Item 4: Bankruptcy

Any bankruptcy filings by the franchisor or its affiliates.

Item 5: Fees

All fees franchisees must pay — initial franchise fee, royalties, advertising fees, training fees, and more.

Item 6: Other Fees

Additional costs — equipment, inventory, insurance, technology fees.

Item 7: Estimated Initial Investment

A table showing the total investment required to open and operate the franchise, from initial fee to working capital.

Item 8: Restrictions on Sources

Restrictions on where franchisees can purchase products, supplies, or services.

Item 9: Franchisee's Obligations

What franchisees are required to do under the franchise agreement.

Item 10: Financing

Any financing arrangements the franchisor offers to franchisees.

Item 11: Franchisor's Obligations

What the franchisor is required to provide — training, support, site selection, marketing.

Item 12: Territory

Whether franchisees get a protected territory and how it's defined.

Item 13: Trademarks

Information about the franchisor's trademarks — registration status and any pending applications.

Item 14: Patents, Copyrights

Any patents or copyrights relevant to the franchise system.

Item 15: Obligation to Participate

Whether franchisees must personally participate in operating the franchise.

Item 16: Restrictions on Sales

Restrictions on what franchisees can sell — approved products and services only.

Item 17: Renewal, Termination, Transfer

The terms under which the franchise agreement can be renewed, terminated, or transferred.

Item 18: Public Figures

Any public figures who endorse or are associated with the franchise.

Item 19: Earnings Claims

Financial performance representations — the most scrutinized item. If you make earnings claims, they must have a reasonable basis.

Item 20: Outlets and Franchisee Information

Lists of current franchisees, outlets that have opened and closed, and contact information.

Item 21: Financial Statements

Audited financial statements of the franchisor — typically required for the last 3 years.

Item 22: Contracts

Copies of all contracts franchisees must sign — franchise agreement, area development agreement, etc.

Item 23: Receipts

A receipt page that franchisees sign to acknowledge they received the FDD.

Common FDD Mistakes

  1. Incomplete Item 7 — Underestimating the initial investment leads to franchisee failure and lawsuits
  2. Overstating Item 19 — Earnings claims without reasonable basis are a major legal risk
  3. Vague Item 12 — Unclear territory definitions lead to franchisee disputes
  4. Missing Item 20 data — Failing to update outlet counts and franchisee lists
  5. Not registering in required states — 14 states require FDD registration before you can sell

How to Build Your FDD

Use the FDD Builder to generate your FDD with AI-assisted drafting. The platform walks you through each item, generates first drafts based on your business profile, and flags compliance issues before you file.

State Registration

After your FDD is complete, you must register it in any of the 14 franchise registration states before selling franchises there. Use the State Compliance Advisor to determine which states require registration and manage the filing process.
